The Heritage Collective Program Terms

Welcome to The Heritage Collective, the creator and affiliate partnership program of Rooted & Heritage LLC (“Rooted & Heritage,” “we,” “us,” or “our”).

The Heritage Collective is designed to build authentic relationships with creators, tastemakers, customers, and brand advocates who share our appreciation for thoughtful craftsmanship, timeless style, and intentional dressing.

By participating in The Heritage Collective, you (“Member,” “Creator,” or “you”) agree to these Program Terms, along with any applicable terms and policies associated with Shopify Collabs.

1. Eligibility & Acceptance

Participation in The Heritage Collective is by application or invitation and is subject to approval by Rooted & Heritage.

Submitting an application does not guarantee acceptance. Rooted & Heritage may approve, decline, suspend, or discontinue a membership at its discretion.

Members must provide accurate information during the application and onboarding process and keep relevant account and payment information current through Shopify Collabs.

Participation is intended for individuals who are at least 18 years old.

2. Affiliate Commission

Approved Heritage Collective members are eligible to earn a 15% commission on eligible net merchandise sales attributed to their affiliate activity through Shopify Collabs.

Commission is generally calculated after applicable discounts and excludes amounts such as taxes, shipping, refunds, returns, cancellations, chargebacks, fraudulent transactions, and other amounts that do not constitute eligible merchandise revenue.

Orders that are returned, refunded, canceled, fraudulent, or otherwise determined to be ineligible may not earn commission or may result in previously credited commission being reversed.

Commission attribution, tracking, payment timing, and related administration are managed through Shopify Collabs and are subject to applicable Shopify Collabs functionality and policies.

Rooted & Heritage reserves the right to modify commission rates or program incentives. Members will be notified of material changes as appropriate.

3. Affiliate Links & Community Codes

Members may receive a personalized affiliate link and/or Community Code through Shopify Collabs.

Unless otherwise specified, an approved Community Code provides customers with 15% off eligible purchases.

Affiliate links and Community Codes are intended to help Members introduce Rooted & Heritage to their communities and properly attribute eligible purchases.

Members may share their Community Code through their own social media, website, email, video content, or other approved channels.

Community Codes:

• May not be combined with other promotions unless expressly permitted by Rooted & Heritage.
• May exclude certain products, collections, launches, or limited releases.
• May not be sold or exchanged for compensation.
• May not be submitted to coupon, deal, discount-code, or code-aggregation websites without written permission.
• May not be used in a misleading or unauthorized manner.

Rooted & Heritage may modify, deactivate, or replace affiliate links or Community Codes when necessary.

4. Personal Purchases & Commission

Members may purchase Rooted & Heritage products for personal use.

Unless expressly authorized, Members do not earn affiliate commission on their own purchases, including purchases made using their own affiliate link or Community Code.

Members may not artificially generate commissions by placing orders on behalf of others, creating duplicate accounts, or otherwise manipulating affiliate tracking.

5. Heritage Collective Member Product Benefit

Approved Heritage Collective members may periodically be offered preferred pricing on eligible Rooted & Heritage merchandise, including an introductory benefit of up to 50% off one eligible product, when offered by Rooted & Heritage.

Preferred product pricing is a private Member benefit and:

• Is intended for the Member’s personal use.
• May be limited to one product or order per offer.
• May be provided through an individualized or limited-use code.
• Is non-transferable.
• May not be publicly shared or distributed.
• May not be combined with other promotions unless authorized.
• May exclude certain products, collections, new releases, or limited inventory.
• Does not generate affiliate commission on the Member’s own purchase.

Availability of preferred pricing is not guaranteed and may depend on inventory, product availability, program status, or other considerations.

Rooted & Heritage may modify or discontinue Member product benefits at any time.

6. Content Expectations for Member-Rate Purchases

Purchasing a product using a Heritage Collective Member discount does not, by itself, create an obligation to produce specific content.

We encourage Members to authentically wear, style, and share the products they experience. When doing so, Members should tag Rooted & Heritage where appropriate, use their affiliate link or Community Code when inviting their audience to shop, and comply with the disclosure requirements described below.

Specific content deliverables are required only when separately agreed to before the product is provided or purchased.

7. Complimentary & Gifted Products

Acceptance into The Heritage Collective does not guarantee complimentary merchandise.

Rooted & Heritage may selectively offer complimentary products based on factors including brand alignment, content quality, audience engagement, affiliate performance, campaign needs, product availability, and previous partnership activity.

A complimentary product may be provided without required deliverables or as part of a specific product-for-content collaboration.

When complimentary merchandise is offered in exchange for content, Rooted & Heritage will provide the Member with a Product Collaboration Brief or other written campaign terms describing the agreed expectations.

The Member may review the collaboration before accepting it.

8. Product Collaboration Briefs

A Product Collaboration Brief may specify:

• Product being provided
• Retail value
• Required deliverables
• Content format
• Posting window or campaign dates
• Required tags or mentions
• Approved product information
• Community Code and affiliate-link usage
• Disclosure requirements
• Content review requirements, if applicable
• Organic or paid content usage permissions, if applicable

By accepting a product offered expressly in exchange for the deliverables described in a Product Collaboration Brief, the Member agrees to fulfill those agreed deliverables.

Campaign-specific written terms may supplement these Program Terms.

9. Content Ownership & Usage

Creators retain ownership of their original content unless otherwise agreed in writing.

Rooted & Heritage may request permission to repost creator content organically across Rooted & Heritage-owned channels, including social media, website, and email.

Unless expressly agreed otherwise, participation in The Heritage Collective does not automatically grant Rooted & Heritage perpetual paid advertising rights, whitelisting rights, or unrestricted commercial usage rights to a Member’s content.

Paid advertising, partnership ads, whitelisting, extended licensing, or other expanded usage may be addressed separately when applicable.

10. Disclosure Requirements

Members must clearly and conspicuously disclose their material relationship with Rooted & Heritage whenever required.

This includes, as applicable, disclosure that:

• A product was gifted or provided at a material discount;
• The Member receives affiliate commission;
• Content is sponsored or paid; or
• Another material relationship exists between the Member and Rooted & Heritage.

Disclosures should be easy for consumers to notice and understand and should comply with applicable Federal Trade Commission requirements and individual social-platform policies.

Examples may include clear language such as “Ad,” “Sponsored,” “Gifted by Rooted & Heritage,” or an appropriate disclosure of an affiliate relationship, depending on the nature of the collaboration.

A platform’s built-in partnership or paid-promotion tool does not necessarily replace any disclosure otherwise required by law.

11. Brand Representation

Members are encouraged to create content in their own voice and personal style.

However, Members may not knowingly make false, misleading, or unsupported statements about Rooted & Heritage or its products.

Members should rely on product information provided by Rooted & Heritage when discussing matters such as:

• Materials
• Construction
• Manufacturing or product origin
• Pricing
• Availability
• Performance or quality claims

Members may not represent themselves as employees, agents, legal representatives, or official spokespersons of Rooted & Heritage unless specifically authorized.

12. Paid Advertising & Brand Keywords

Members may not, without prior written permission:

• Purchase paid-search advertising using Rooted & Heritage trademarks or brand terms.
• Bid on “Rooted & Heritage,” product names, misspellings, or substantially similar branded search terms.
• Run paid social advertisements that appear to originate from Rooted & Heritage.
• Register domains, social accounts, usernames, or other digital properties that impersonate or could reasonably be confused with official Rooted & Heritage properties.
• Redirect advertisements through affiliate links in a manner that misrepresents the source of the promotion.

13. Prohibited Activity

Members may not engage in activity intended to artificially generate affiliate commissions or misuse program benefits.

Prohibited activity includes fraudulent transactions, unauthorized coupon distribution, self-referral schemes, false advertising, spam, misleading claims, unauthorized resale of Member benefits, or other attempts to manipulate program tracking or compensation.

Rooted & Heritage may withhold or reverse commissions associated with suspected fraudulent or prohibited activity, subject to applicable law and platform functionality.

14. Returns, Refunds & Cancellations

Commission is earned only on eligible transactions.

If an attributed order is subsequently returned, refunded, canceled, charged back, or determined to be fraudulent or otherwise ineligible, associated commission may be canceled, withheld, or reversed in accordance with Shopify Collabs functionality and applicable program rules.

15. Taxes & Payment Information

Members are responsible for providing accurate payment and tax information required to receive commissions.

Members are responsible for their own tax obligations arising from commissions, products, discounts, or other compensation received through The Heritage Collective.

Rooted & Heritage does not provide individual tax advice.

16. Program Changes

Rooted & Heritage may modify The Heritage Collective, including commission rates, customer offers, Member benefits, eligibility criteria, or these Program Terms.

When appropriate, material changes will be communicated to active Members or reflected through updated Program Terms.

Continued participation following the effective date of updated terms constitutes acceptance of the updated terms to the extent permitted by applicable law.

17. Termination

Members may discontinue participation in The Heritage Collective at any time.

Rooted & Heritage may suspend or terminate participation for reasons including violation of these Program Terms, misuse of affiliate links or discounts, fraudulent activity, failure to fulfill agreed campaign deliverables, conduct materially inconsistent with the partnership, or discontinuation of the program.

Termination may result in deactivation of affiliate links, Community Codes, Member discounts, and future product opportunities.

Eligible commissions properly earned before termination will be handled according to applicable Shopify Collabs and program rules.

18. Independent Relationship

Participation in The Heritage Collective does not create an employment relationship, partnership, joint venture, franchise, agency, or other employment-type relationship between the Member and Rooted & Heritage.

Members participate as independent creators or affiliates and control how they create and publish their own content, subject to any specific collaboration terms they voluntarily accept.

By participating in The Heritage Collective, using program affiliate tools or accepting program benefits, you acknowledge that you have read and agree to these Program Terms and any applicable campaign-specific terms you subsequently accept.
